Cellgrade Terms of Use

Please read these terms before using Cellgrade. By installing or using the app, or by relying on anything it produces, you agree to them. If you do not agree, do not use the app.

1. What Cellgrade is

1.1Cellgrade is a mobile application that connects to a vehicle through a third-party OBD adapter, reads data reported by the vehicle's own electronic modules, and presents that data as readings, insights, alerts, a letter grade from A to E, and optionally a battery report ("certificate").

1.2Every figure Cellgrade shows originates from the vehicle's battery management system, other vehicle modules, or the adapter's own voltage measurement. Cellgrade does not measure a battery directly and does not verify what the vehicle reports.

1.3A grade is Cellgrade's interpretation of that reported data using published thresholds. It is a summary of a measurement taken at one moment, not a statement about the physical condition, safety, value, remaining life or future performance of any battery or vehicle.

2. What Cellgrade is not

2.1Cellgrade is not an inspection. It cannot see physical condition, corrosion, wiring, terminals, mountings, leaks, damage, or anything outside what the vehicle's modules report.

2.2Cellgrade is not a warranty or guarantee. Nothing in the app, a grade or a certificate promises that a battery or vehicle will perform in any way, for any period, or at all.

2.3Cellgrade is not a valuation and is not professional, mechanical, financial or legal advice. It does not replace a test by a qualified person with the vehicle in front of them.

2.4Cellgrade is not endorsed by, connected to or approved by any vehicle or battery manufacturer. Vehicle and product names are used only to identify the vehicles the app can read.

3. Accuracy and limits of the data

3.1Battery readings change with temperature, state of charge, how recently the vehicle was driven or charged, and the vehicle's own software. A reading taken on a different day, or by a different tool, will differ.

3.2Vehicle data maps may be incomplete, may contain errors, and may have been derived from open-source projects or contributed by other owners without verification by us. Where the app marks a map or a reading as unconfirmed, derived, community, not readable or not evaluated, that label is part of the reading and you should not rely on the figure.

3.3Adapters vary in quality. A faulty, counterfeit or incompatible adapter can produce wrong or missing data. We are not responsible for any adapter.

3.4The app may fail to connect, may misread, may stop working with a vehicle after a software update to the vehicle or the phone, and may be withdrawn or changed at any time.

4. Certificates and reports

4.1A certificate is a signed record of what Cellgrade read through the vehicle's diagnostic port at the date and time printed on it, together with the grade Cellgrade assigned to that data at that time. The signature shows only that the report has not been altered since it was issued. It does not show that the data is correct, complete or representative.

4.2A certificate says nothing about the vehicle at any other time, including at the time anyone reads it.

4.3Froggy Eye is not a party to any sale, purchase, lease, finance, insurance or repair of any vehicle. A certificate does not form part of any such contract, is not a representation by us to any buyer, seller or third party, and creates no duty of care owed by us to anyone who reads it.

4.4Anyone who relies on a certificate, whether or not they are a user of the app, does so entirely at their own risk and should obtain their own independent inspection before making a decision.

4.5A certificate made from the app's simulated adapter is marked "DEMONSTRATION READING — not a vehicle record" on the document, the PDF and the verification page. It describes no vehicle and must not be presented as describing one.

4.6A certificate must not be altered, and must not be presented as an inspection, an approval, a warranty or a manufacturer document. We may refuse to sign, or may withdraw the ability to verify, a report we believe has been misused.

5. Your responsibilities

5.1You are responsible for using the app safely. Do not operate the app while driving. Follow the vehicle manufacturer's guidance for the diagnostic port.

5.2You are responsible for every decision you take on the basis of anything the app shows, including decisions to buy, sell, keep, charge, drive, repair or replace a battery or vehicle, and for obtaining independent professional advice before any such decision.

5.3Clearing fault codes removes diagnostic information from the vehicle and may affect a mechanic's ability to diagnose a fault, an emissions test, or a warranty claim. You do so at your own risk.

5.4You must only read vehicles you own or have the owner's permission to read.

6. Limitation of liability

6.1Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded or limited under the law that applies to you. If you are a consumer, nothing in these terms affects your statutory rights, including under the Consumer Rights Act 2015.

6.2Subject to 6.1, and to the fullest extent permitted by law, we are not liable to you or to anyone else, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation or otherwise, for any loss or damage arising out of or in connection with:

• (a) any grade, reading, insight, alert, certificate or other output of the app, or any reliance placed on it by you or by anyone else;
• (b) any error, omission, delay or inaccuracy in vehicle data, data maps, adapters, or the app;
• (c) any failure, degradation, fire, damage or loss of performance of any battery or vehicle, whenever it occurs and whatever grade the app had assigned;
• (d) any decision to buy, sell, value, finance, insure, keep, repair or replace a battery or vehicle;
• (e) clearing of fault codes or any other action taken through the app;
• (f) any indirect or consequential loss, or any loss of profit, revenue, business, goodwill, data or anticipated savings.

6.3Subject to 6.1, our total liability to you for all claims arising in any twelve-month period is limited to the amount you paid us for the app or for certificates in that period, or £10 if you paid nothing.

6.4The app and everything it produces are provided "as is" and "as available". Subject to 6.1, we give no warranty, condition or undertaking, express or implied, as to accuracy, fitness for a particular purpose, merchantability or non-infringement.

6.5If you use the app in the course of a trade or business (for example as a dealer, garage or fleet operator), you accept that these limits apply to your business and to your customers, and you agree to indemnify us against any claim by your customer arising from your use of a grade or certificate.

7. Purchases

7.1Cellgrade Pro and certificate credits are one-off purchases made through Apple's App Store or Google Play under that store's terms. Prices are shown in the store before you buy. There are no subscriptions.

7.2Refunds are handled by the store under its own rules. A certificate credit is consumed when a report is signed.

7.3Certificate signing requires a connection to our signing service. If the service is unavailable, the credit is kept and the report can be signed later. The signing service receives a digest of the report, the report's grades and figures, and the store's proof of purchase. It does not receive the vehicle identification number, and it does not keep the figures. The Privacy Policy sets out what it keeps.

8. Contributions of vehicle data

8.1If you choose to send a diagnostic scan ("Add my car"), you grant Froggy Eye a perpetual, worldwide, royalty-free licence to use, adapt and publish the data in that scan, in any form, for the purpose of building and improving vehicle data maps, including maps published under an open licence. You can withdraw a contribution through the app (Settings, Your contributions) or by emailing info@froggyeye.com with its reference, but data already incorporated into a published map cannot be recalled.

8.2You confirm you have the right to send the scan and that it does not contain data about anyone other than you and your vehicle.

8.3Where a scan earns a reward, the reward is a one-time code for Cellgrade Pro that you redeem through the App Store or Google Play under that store's terms. We may decline to issue a code, or ask the store to revoke one that has not been redeemed, if the scan turns out to be fabricated, duplicated or otherwise abusive. A reward does not affect anything you have purchased.

9. Intellectual property and open-source data

9.1The app, its design, its data maps and its documentation are owned by or licensed to Froggy Eye. You may use them only through the app for your own purposes.

9.2Some vehicle data maps are derived from open-source projects. Their licences and attributions are listed in the app under Settings, Open-source data, and those licences apply to those maps.

10. Privacy

10.1How the app handles data is described in the Privacy Policy at froggyeye.com/cellgrade/privacy, which forms part of these terms.

11. Changes and termination

11.1We may change the app and these terms. The effective date at the top shows the current version. Continued use after a change means you accept it.

11.2We may withdraw or suspend the app, the signing service or the verification page at any time. If we do so, certificates already issued remain a record of what was read but may no longer be verifiable.

12. General

12.1These terms are governed by the law of England and Wales. If you are a consumer living elsewhere in the United Kingdom or in the European Union, you also have the protection of the mandatory rules of your own country, and you may bring a claim in your own courts.

12.2If any part of these terms is found unenforceable, the rest remains in force.

12.3These terms are the whole agreement between you and us about the app.
